Terms of Service

By accessing or using the QuoteTriage platform, website, or any related services (collectively, the "Service"), you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy, which is incorporated herein by reference.

If you do not agree with any part of these Terms, you must not use the Service. Use of the Service constitutes your ongoing acceptance of these Terms as they may be updated from time to time.

QuoteTriage provides an AI-powered lead triage and qualification platform designed for service businesses. The Service includes:

• Automated scoring and classification of inbound leads via webhook or form integration
• AI-generated qualification recommendations based on configured criteria
• SMS and email notifications for qualified leads
• A dashboard for reviewing, managing, and overriding lead decisions
• Integrations with third-party CRM and field service platforms
• Analytics and reporting on lead quality and conversion metrics

QuoteTriage reserves the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice to active subscribers.

To use the Service, you must register for an account and provide accurate, current, and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account, whether authorized or not
• Notifying us immediately at [email protected] of any unauthorized account access
• Ensuring that all users added to your account agree to these Terms

Accounts may not be shared with or transferred to another individual or organization without prior written consent from QuoteTriage. You must be at least 18 years of age to create an account.

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Submit false, misleading, or fraudulent lead data
• Attempt to reverse-engineer, decompile, or extract our AI models
• Use the Service for any purpose other than legitimate lead management for your business
• Resell, sublicense, or provide access to the Service to third parties without authorization
• Transmit malicious code, conduct denial-of-service attacks, or attempt to gain unauthorized system access
• Harvest or collect data from the platform beyond your own account data
• Impersonate any person or entity or misrepresent your affiliation with any person or entity

Violation of these restrictions may result in immediate suspension or termination of your account and may expose you to legal liability.

QuoteTriage offers subscription plans billed monthly or annually. Payment terms:

• Subscriptions are billed in advance on a recurring basis (monthly or annual)
• All fees are non-refundable except as required by law or as stated in our refund policy
• We offer a 14-day free trial for new accounts; no credit card required
• Price changes will be communicated with at least 30 days' notice before taking effect
• Overdue accounts may be suspended after 7 days; account data is retained for 30 days after suspension
• Annual subscribers may request a pro-rated refund within the first 30 days of their annual term

All payments are processed by Stripe. By providing payment information, you authorize QuoteTriage to charge your payment method for all applicable fees. You represent that you are authorized to use the payment method provided.

QuoteTriage and its licensors retain all rights, title, and interest in and to the Service, including all underlying technology, AI models, software, interfaces, designs, and documentation ("QuoteTriage IP"). These Terms do not grant you any ownership rights in the QuoteTriage IP.

Subject to your compliance with these Terms and payment of applicable fees, QuoteTriage grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes only.

You retain ownership of all data you submit to the Service. By submitting data, you grant QuoteTriage a limited license to process that data solely to provide and improve the Service as described in our Privacy Policy.

You own your data. QuoteTriage does not sell your lead data or use it to provide services to your competitors. Specifically:

• All lead data submitted through your forms remains your property
• We act as a data processor with respect to lead data; you are the data controller
• We may use aggregated, anonymized data to improve AI model accuracy
• Upon account termination, you may export your data within 30 days
• After the export window, data is securely deleted in accordance with our retention policy

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QUOTETRIAGE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

QuoteTriage does not warrant that: (a) the Service will be uninterrupted or error-free; (b) defects will be corrected; (c) the Service is free of viruses or other harmful components; or (d) AI triage decisions will be 100% accurate. Lead qualification is an assistive tool and should not be the sole basis for business decisions.

We maintain a 99.5% uptime SLA for paid plans. Service credits for downtime below this threshold are available upon request.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL QUOTETRIAGE, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.

QUOTETRIAGE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE FEES YOU PAID TO QUOTETRIAGE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

You agree to defend, indemnify, and hold harmless QuoteTriage and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your access to or use of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including privacy rights
• Any content or data you submit through the Service
• Your violation of any applicable law or regulation

Either party may terminate these Terms at any time. You may cancel your subscription through the account dashboard or by contacting [email protected]. QuoteTriage may suspend or terminate your account if:

• You breach any provision of these Terms
• Your account is involved in fraudulent, abusive, or illegal activity
• You fail to pay applicable fees after notice
• We are required to do so by law

Upon termination: (a) your license to use the Service terminates immediately; (b) we will retain your data for 30 days during which you may export it; (c) outstanding fees remain payable. Provisions that by their nature survive termination will do so.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state and federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

For disputes involving amounts less than $10,000, either party may elect binding arbitration under the rules of the American Arbitration Association. The arbitration shall be conducted in English, remotely.

QuoteTriage reserves the right to modify these Terms at any time. For material changes, we will:

• Provide at least 30 days' advance notice via email
• Display a prominent banner in the application dashboard
• Update the "Last updated" date at the top of these Terms

Continued use of the Service after the effective date of updated Terms constitutes acceptance of the changes. If you do not agree to updated Terms, you must stop using the Service and cancel your subscription before the effective date.
